1. Definitions

For the purposes of this License:

"Licensor" means Ui Tkmy, the copyright holder, or any other person or entity authorized by the Licensor to grant the rights provided by this License.

"Licensee" means any person or legal entity exercising rights granted under this License.

"Software" means the software expressly identified as being subject to this License in the accompanying LICENSE file, including its source code, documentation, configuration files, assets, and other copyrightable materials expressly identified as part of the Software.

"Original Software" means the Software as distributed by the Licensor, excluding modifications made by other parties.

"Modified Version" means a version of the Software that contains modifications to, or incorporates copyrightable portions of, the Original Software.

"Derivative Version" means a work based upon a Modified Version that incorporates copyrightable material originating from the Modified Version or the Original Software.

"Non-Commercial Use" means use that is not undertaken primarily for commercial advantage or monetary compensation.

"Commercial Use" means use undertaken for commercial advantage, monetary compensation, revenue generation, or another purpose that constitutes commercial activity under applicable law.

"Distribute" means to reproduce, publish, transmit, provide, sell, sublicense, or otherwise make the Software or a Modified Version available to another person or entity.

"Major Version" means a release designated by the Licensor as a major release and subject to a new version of this License or a separate licensing arrangement.

2. Copyright Ownership

The Software is protected by copyright and applicable intellectual-property laws and international treaties.

Except for the rights expressly granted by this License, all rights, title, and interest in the Original Software remain with the Licensor.

This License does not transfer ownership of the Software or its copyright to any Licensee.

Nothing in this License grants rights to trademarks, service marks, logos, names, or other branding belonging to the Licensor except where expressly stated.

3. Acceptance of the License

By downloading, installing, accessing, using, copying, modifying, or distributing the Software, the Licensee acknowledges that they have read, understood, and agreed to be bound by the terms of this License.

If the Licensee does not agree to the terms of this License, the Licensee must not use, copy, modify, or distribute the Software.

Use of the Software constitutes acceptance of this License to the maximum extent permitted by applicable law.

Where applicable law requires affirmative consent for a particular license grant or contractual obligation, such consent shall be obtained in the manner required by that law.

4. Non-Commercial Use

Subject to the terms of this License, the Licensor grants each Licensee a worldwide, non-exclusive, royalty-free, non-transferable license to:

  1. use the Software for Non-Commercial Use;
  2. reproduce the Software for Non-Commercial Use;
  3. inspect the source code;
  4. modify the Software for Non-Commercial Use; and
  5. create Modified Versions for personal or Non-Commercial Use.

No license fee is required for permitted Non-Commercial Use.

The rights granted under this section do not include the right to publicly distribute or commercially exploit a Modified Version except as expressly permitted by this License.

5. Commercial Use

Commercial Use of the Software requires a separate Commercial License issued by the Licensor.

A Commercial License may require payment of a fixed license fee established by the Licensor or published in a separate official pricing schedule.

The applicable fee is determined separately from this License and may be changed for future versions or Major Versions.

Unless expressly stated otherwise in a Commercial License, payment of a Commercial License fee grants permission to use the specified version of the Software for the licensed commercial purpose.

A Commercial License does not automatically grant permission to modify, publish, distribute, sublicense, or create derivative works from the Software.

6. Modification

Non-Commercial modification of the Software is permitted subject to this License.

A Licensee modifying the Software must not remove or obscure:

  1. copyright notices;
  2. license notices;
  3. attribution requirements; or
  4. other notices required by this License.

A Modified Version must clearly distinguish itself from the Original Software.

A Modified Version must not falsely imply that it is an official release of, or officially affiliated with, the Licensor.

Modification does not transfer ownership of the Original Software to the modifier.

7. Distribution of Modified Versions

Third-party components remain subject to their respective licenses.

Any publicly distributed Modified Version must:

  3. clearly state that the Software has been modified;
  4. provide a link to the Original Software, where a stable link is available; and
  5. provide a link to this License.

The required credit must be reasonably visible and accessible to users of the Modified Version.

The credit may be displayed in documentation, a credits file, a project website, an in-game information screen, or another reasonable location specified by the Licensor.

The attribution must not falsely suggest endorsement, sponsorship, partnership, or official affiliation with the Licensor.

10. Restrictions on Further Derivative Versions

Unless expressly authorized in writing by the Licensor, a Modified Version may not be used as the basis for creating, distributing, or authorizing a further version that incorporates copyrightable material originating from the Original Software or the Modified Version.

This restriction is intended to prohibit successive derivative versions based upon the Software while preserving independent development.

  1. independent software implementations created without copying or incorporating copyrightable material from the Software;
  2. interoperability with the Software;
  3. ideas, concepts, algorithms, methods, interfaces, or functionality that are not protected by copyright;
  4. use of publicly known concepts or techniques; or
  5. activities that applicable mandatory law does not permit the Licensor to restrict.

11. Prohibited Uses

This License does not authorize use of the Software in a manner that:

  1. violates applicable law;
  2. infringes the copyright, trademark, privacy, publicity, or other rights of a third party;
  3. intentionally misrepresents the identity, authorship, or affiliation of the Software;
  4. intentionally impersonates or falsely represents the Licensor;
  5. intentionally uses the Software to facilitate unlawful discrimination, abuse, exploitation, or other unlawful conduct;
  6. uses the Software in a manner that materially and intentionally damages the reputation of the Licensor through false attribution or unauthorized association; or
  7. violates an additional restriction expressly stated in an applicable Commercial License or written authorization.

Nothing in this section shall be interpreted as prohibiting lawful criticism, commentary, research, education, parody, or other activity protected by applicable law.

12. Moral Rights and Integrity

To the extent recognized and enforceable under applicable law, the Licensee shall respect the author's moral rights, including rights relating to attribution and the integrity of the work.

Nothing in this License shall be interpreted as waiving or transferring moral rights where such waiver or transfer is prohibited or ineffective under applicable law.

Where applicable law permits a waiver of particular moral rights, any such waiver must be expressly stated in a separate written agreement.

13. Third-Party Materials

The Software may contain or depend upon materials distributed under third-party licenses.

Such materials are not relicensed by this License unless the applicable third-party license expressly permits such relicensing.

Where a conflict exists between this License and a mandatory term of a third-party license, the applicable third-party license governs the relevant third-party material.

The Licensee is responsible for complying with applicable third-party licenses.

14. Compliance and Cure Period

If a Licensee violates this License, the Licensor may provide written notice describing the violation.

Unless immediate termination is permitted or required by applicable law, the Licensee shall have 30 days from receipt of notice to cure the violation.

If the violation is not cured within the applicable cure period, the rights granted under this License may terminate automatically.

Nothing in this section prevents the Licensor from seeking appropriate legal remedies where permitted by applicable law.

15. Effect of Termination

Upon termination of this License, the affected Licensee must cease all activities that were authorized solely by this License, except to the extent continued use is permitted by applicable law or by a separate written license.

Termination does not eliminate rights or obligations that accrued before termination.

Any rights that cannot legally be terminated under applicable law remain unaffected to the extent required by that law.

16. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

THE LICENSOR DISCLAIMS WARRANTIES INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AND ACCURACY.

THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR AVAILABLE WITHOUT INTERRUPTION.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SOFTWARE OR THIS LICENSE.

Nothing in this License excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

18. International Application

This License is intended for international use.

The rights granted under this License are intended to apply worldwide to the maximum extent permitted by applicable law and applicable international treaties.

Nothing in this License is intended to override mandatory provisions of the law applicable to a particular Licensee, transaction, jurisdiction, or type of right.

If any provision of this License is held invalid or unenforceable in a particular jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in effect.

19. Governing Law and Jurisdiction

Unless otherwise specified in a separate written agreement, this License shall be interpreted in accordance with the laws applicable to the Licensor's principal place of residence or establishment, without prejudice to mandatory provisions of applicable law.

Any dispute arising from or relating to this License shall be subject to the jurisdiction of the competent courts determined under applicable law.

Nothing in this section prevents a party from seeking urgent or provisional relief in another competent jurisdiction where permitted by law.

20. Entire Agreement

This License constitutes the principal agreement governing use of the Software, except for:

  1. separate Commercial Licenses;
  2. written permissions issued by the Licensor;
  3. applicable third-party licenses; and
  4. other agreements expressly incorporated by reference.

Additional permissions granted in writing by the Licensor apply only to the scope expressly stated in that permission.

21. No Trademark License

This License does not grant permission to use the Licensor's trademarks, logos, names, or other branding except as necessary to provide the attribution required by this License.

Separate written permission is required for any other use of the Licensor's trademarks or branding.

22. Reservation of Rights

All rights not expressly granted by this License are reserved by the Licensor.

No provision of this License shall be interpreted as granting any right by implication, estoppel, exhaustion, or otherwise except where such right is required by applicable law.
